Catering Contract
This Catering Service Contract (hereinafter referred to as the “Contract”) is entered and shall be effective as on [Effective Date],
By and Between
[ Catering Company Name] (hereinafter referred to as “Service Provider”), having its principal place of business at [Address], and;
[Event Planner Name] (hereinafter referred to as the “Client”), residing at [Address],
Both the Service Provider and the Client are collectively referred to as the “Parties” and individually as “Party”.
WHEREAS the Service Provider provides catering services.
WHEREAS the Client is desirous of availing the services from the Service Provider.
The Parties herein this Contract agree to the terms and conditions as set forth below:
Terms and Conditions
1. Provision of Services
The Service Provider shall provide the Client all the necessary catering services as on the [Date]. The Service Provider further agrees to render the services as per the Client’s requirements.
2. Event Details
The client shall provide the Service Provider with all the event details:
Event Location: [Add the address of event]
Event Duration: [Add the event duration]
Event Date: [Add the date of event]
Guest count: [Add the total guest count]

3. Scope of Services
The Services Provider shall provide the following services to the Client:

4. Menu to be served
The parties have agreed to the menu attached to this contract. The caterer has the right to do small changes to the menu in case certain ingredients are not available or beyond the control of the caterer.
5. Coordination with the venue
The caterer shall need to have access to the venue no later than [Event preparation time] hours in advance of the start time of the event and [Cleanup time] hours after the end of the event. The client has to make the necessary arrangements for easy coordination.
6. Equipment at the venue
Except, otherwise mentioned in the contract, the caterer shall provide all the menu items and also all the utensils, cutlery, napkins, tableware, and other necessary supplies in accordance with the contract.
7. Payment
The Service Provider shall conduct the aforementioned services as necessary and invoice the Client timely. The amount for the services rendered shall be $ [0.00]. The Client agrees to pay all invoices relevant to this catering services within [Number of Days] of receipt of such invoices. The mode of payment shall be cash/bank transfer/online payment or any other mode of payment as agreed by the Parties.
8. Termination
If either Party fails to perform any obligation under this Contract, the other Party shall do any or all of the following:
Cancel the Contract.
Sue for specific performance.
Sue for actual and compensatory damages.
9. Limitation of Liability
Neither Party shall be liable to the other for indirect, special, or consequential damages arising out of this Contract hereunder, including but not limited to loss of profits or equipment, or other costs.
10. Insurance & Indemnification
The caterer shall obtain general liability insurance throughout the services at the event. However, the client shall agree to indemnify the Service Provider from and against any and all claim, damages, cost, loss, expense, or any kind of liability arising out of, or in connection with this Contract due to the failure of performance of obligations and/or breach of this Contract by the Client.
11. Relationship of Parties
It is hereby agreed that the Parties herein are independent contractors and the relationship between both the Parties shall not constitute a partnership or a joint venture.
12. Confidentiality
The Service Provider shall maintain confidentiality of the Clients information, or any such data which is deemed confidential. The Service Provider further agrees to not disclose the confidential information to any third Party.
13. Warranty
The Service Provider guarantees that all services shall be completed within the time agreed upon at the start of the Contract unless the time required to complete the said Contract is changed or extended in writing by mutual consent. The Service Provider further agrees and warrants that all services rendered are of a reasonable standard and, upon notice by the Client, agrees to rectify within [Number of Days] days upon receiving such notice form the Client.
14. Arbitration
In the event of any dispute arising in and out of this Contract between the Parties, it shall be resolved by Arbitration. There shall be [Number of Arbitrators] Arbitrators which shall be appointed by [Party Name]. The venue of Arbitration shall be [Venue/Location of Arbitration] and the seat shall be [State]. The Arbitrators’ decision shall be final and will be binding on both the Parties.
15. Miscellaneous
Notice: All the approvals notices required hereto by either of the Parties shall be deemed to be given and delivered by international courier or registered email respectively.
Severability: In the event, any provision of this Contract is deemed to be invalid or unenforceable, in whole or part, that part shall be severed from the remainder of this Contract, and all other provisions shall remain in full force and effect as valid and enforceable.
Modification: No modification of this Contract shall be made unless in writing signed by both Parties.
Governing Law: The Parties agree that this Contract shall be governed by the laws of [State]. In the event the Parties do business in different states, this Contract shall be governed by the laws of [State].
Entire Agreement: The Parties acknowledge that this Contract sets forth and represents the entire Contract between both the Parties. If the Parties are willing to change/add/modify any terms, they shall be in writing and signed by both Parties.
